Agreement to these terms
By creating an account, clicking to accept, adding credit, or using Overagent, you agree to these Terms of Service. If you use the service for a company or another organization, you confirm that you have authority to bind that organization, and “you” includes that organization.
If you do not agree, do not use the service.
Eligibility and accounts
You must be at least 18 years old, able to enter a binding contract, and legally permitted to use the service where you live. You may not use Overagent if sanctions, export controls, or other laws prohibit it.
Give us accurate account information and keep your password, session, API keys, and wallet credentials secure. You are responsible for activity performed through your account until you notify us of unauthorized access. Do not share an account in a way that defeats access controls.
The service
Overagent provides an OpenAI-compatible gateway, model routing, usage metering, prepaid credit, and related account tools. Requests may be processed by third-party model and infrastructure providers. Available models, features, limits, routes, and providers may change.
Overagent is not a model developer, bank, money transmitter, investment adviser, or custodian of your personal crypto wallet. A displayed model name identifies the requested model family and does not imply sponsorship or endorsement by its maker.
Acceptable use
You must comply with applicable law and the usage rules of any model provider involved in your request.
You may not use the service to:
- create, distribute, or facilitate illegal, fraudulent, abusive, or deceptive activity;
- generate malware, steal credentials, evade security controls, or interfere with systems or networks;
- exploit, probe, scrape, overload, reverse engineer, or bypass rate, billing, or access controls;
- infringe privacy, publicity, intellectual-property, or other rights;
- make unlawful decisions about a person in employment, housing, credit, insurance, health, or similar high-impact areas;
- resell or sublicense access without our written permission; or
- misrepresent model output as verified fact when that could foreseeably cause harm.
We may investigate suspected abuse and cooperate with lawful requests from authorities.
Your content and data
You retain any rights you have in prompts, files, and other content you submit. You give Overagent a limited right to transmit, process, cache where technically necessary, and otherwise use that content only to operate, secure, support, and improve the service.
You confirm that you have the rights and permissions needed to submit your content. Do not submit secrets, regulated data, or sensitive personal information unless you have assessed the risks and have a lawful basis to do so.
Pricing, credit, and crypto payments
The rates shown when a request is accepted determine the usage charge unless we clearly state otherwise. We may change future rates, margins, minimums, or supported currencies, but a change will not retroactively alter a completed request.
Credit is prepaid and denominated in the currency shown in your wallet. It is not a bank deposit, does not earn interest, is not legal tender, and cannot be transferred between users unless we approve it.
Crypto transfers are generally irreversible. You are responsible for choosing the correct asset, network, address, amount, and fees. Credit is issued only after the payment provider confirms the invoice. Network delays, underpayments, overpayments, unsupported assets, and transfers to the wrong network may delay or prevent credit.
We may correct obvious metering or balance errors and may hold transactions reasonably suspected of fraud, sanctions violations, or abuse while we investigate.
Refunds and billing disputes
Except where required by law, confirmed crypto payments and consumed usage are non-refundable. We may approve a refund of unused credit at our discretion, less non-refundable network, payment-provider, and administrative costs. A refund may need to use the original asset or another method we approve.
Report a payment or metering error through official support within 30 days after it appears. Include the invoice or request ID, but never send a password, seed phrase, session cookie, or full API key.
Model outputs
Model output is probabilistic and may be inaccurate, incomplete, offensive, outdated, or similar to output provided to others. You must review output before using or sharing it. Do not rely on output as legal, medical, financial, safety, or other professional advice.
Subject to applicable law and third-party rights, we do not claim ownership of output generated for you. We do not guarantee that output is unique, non-infringing, or suitable for a particular purpose.
Availability and changes
We may add, remove, limit, or change models, routes, APIs, features, or rate limits. The service may be unavailable because of maintenance, provider failures, internet conditions, security events, or causes outside our control. We do not promise uninterrupted availability or a particular model response time.
Suspension and termination
You may stop using the service at any time. We may limit, suspend, or terminate access when reasonably necessary to address abuse, legal risk, nonpayment, fraud, security threats, provider requirements, or a material breach of these terms.
If we terminate an account without cause, we will make a reasonable effort to return eligible unused credit, less non-refundable costs, where technically possible and legally permitted. We may withhold amounts connected to fraud, abuse, disputes, or legal obligations to the extent the law allows.
Provisions that by their nature should survive termination, including payment, ownership, disclaimers, liability limits, indemnity, and dispute terms, will survive.
Intellectual property
Overagent and its software, interface, branding, documentation, and service content are owned by us or our licensors. These terms give you a limited, revocable, non-exclusive, non-transferable right to use the service as intended. They do not transfer ownership or permit you to copy or exploit the service.
If you send feedback, you allow us to use it without restriction or payment, provided we do not identify you publicly without permission.
Security and privacy
We use technical and organizational measures intended to protect accounts, credentials, and service data, but no system is completely secure. You must use reasonable safeguards and notify us promptly if you suspect compromise.
We process account details, service logs, request metadata, billing records, and support communications to provide, secure, troubleshoot, and comply with legal obligations relating to the service. Third-party providers process information needed to complete model requests and payments.

No warranties
To the maximum extent permitted by law, Overagent is provided “as is” and “as available.” We disclaim all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and any warranty arising from a course of dealing.
Nothing in these terms excludes a warranty or right that applicable law says cannot be excluded.
Limits on liability
To the maximum extent permitted by law, Overagent and its owners, personnel, affiliates, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, business opportunities, or the cost of substitute services.
Our total liability arising from or related to the service will not exceed the greater of 100 US dollars or the amount you paid to Overagent during the three months before the event giving rise to the claim.
These limits apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not apply where prohibited by law or to liability that cannot legally be limited.
Indemnity
To the extent permitted by law, you will defend and indemnify Overagent and its owners, personnel, and affiliates against third-party claims, losses, and reasonable costs arising from your content, your use of the service, your violation of these terms, or your infringement of another person’s rights.
We may control the defense of a covered claim, and you agree to provide reasonable cooperation.
Disputes and governing law
Before filing a formal claim, contact official support with a description of the dispute and allow 30 days for an informal resolution. This does not prevent either party from seeking urgent injunctive relief.
These terms are governed by the laws that apply where the Overagent operator is established, without regard to conflict-of-law rules. Courts with jurisdiction over that operator will have exclusive jurisdiction, except where mandatory consumer law gives you the right to use another law or forum.
Changes to these terms
We may update these terms as the service or law changes. We will post the new version and effective date. If a change materially reduces your rights, we will provide reasonable notice through the service or account contact information. Continued use after the effective date means you accept the update.
